“Services” refers to all offerings provided by Artaxer, including but not limited to web design, development, UI/UX strategy, branding, maintenance, consulting, SEO, hosting recommendations, and related digital services.

“Agreement” refers to the full contract including these Terms, project proposals, estimates, and service agreements.
2. Scope of Services
Artaxer provides a variety of creative and technical digital services. Each service engagement is governed by:

We work from UX/UI planning to launch, building meaningful digital experiences that deliver clear brand messaging—not just visual appeal.
Our Services May Include:

We reserve the right to update, modify, or discontinue any of our service offerings at any time without prior notice.
3. Project Acceptance & Engagement
Before starting any work, the client will receive:

A detailed project estimate or proposal

A statement of work or service agreement

A schedule or timeline
-
A payment plan
Work begins only upon:

Written approval from the client
-
Initial deposit (if applicable)
-
Signing of the contract or digital acknowledgment
Failure to approve or pay on time may delay project delivery.
4. Client Responsibilities
The success of each project depends on clear, timely collaboration. The client agrees to:

Provide all necessary content (text, images, assets) in a timely manner

Supply access credentials (domains, hosting, third-party tools)

Offer timely feedback, approvals, and decisions
-
Review and approve drafts or mockups before development
Delays in feedback or approvals may result in extended timelines or rescheduling.
5. Payment Terms
All fees are stated in U.S. Dollars unless otherwise agreed. Projects are generally billed on a milestone or percentage basis. Standard payment structures may include:

50% upfront / 50% on delivery

40% upfront / 30% mid-point / 30% final delivery

Monthly retainers or hourly rates for long-term work

Other invoicing platforms as agreed
Late Payments:
Late invoices may incur:

5% late fee after 7 days

Work suspension after 14 days of non-payment

Termination and legal action after 30 days, including recovery costs
All deliverables remain the property of Artaxer until full payment is received.
6. Intellectual Property Rights
Client Ownership:
Upon full payment:

The client will own all final deliverables (e.g., website files, logos, designs, graphics, code) developed specifically for the project.

Artaxer grants the client an irrevocable, royalty-free license to use, display, and modify the final product.
Artaxer Ownership:
-
Artaxer retains ownership of all preliminary work, mockups, drafts, proprietary tools, libraries, or processes used in the project unless otherwise agreed.

We reserve the right to showcase completed projects in our portfolio, promotional materials, and case studies, unless the client explicitly requests otherwise in writing.
7. Revisions and Change Requests
Project fees include a limited number of revisions as stated in the proposal. Revisions outside the agreed scope may be subject to additional charges.
Examples of out-of-scope revisions:

Additional design mockups

Major structural changes

New content or copywriting requests
Change requests must be submitted in writing and may extend the delivery schedule.
8. Termination of Services
Either party may terminate a project at any stage with written notice. Upon termination:

Artaxer shall deliver any completed work paid for

The client agrees to pay for all work completed up to the date of termination

No refunds will be given for services already rendered or completed stages

All licenses revert to Artaxer if full payment is not made
9. Website Hosting and Third-Party Tools
Artaxer may recommend hosting, domain registrars, or third-party integrations. However:

We do not control the performance, pricing, or policies of these providers

Clients are responsible for renewing domain/hosting services
-
Artaxer is not liable for downtime, service outages, or loss from third-party services
10. Confidentiality and Non-Disclosure
Both parties agree to:

Treat all project-related information as confidential

Not share proprietary or sensitive data with third parties without consent

Sign a separate Non-Disclosure Agreement (NDA) upon request
We respect client privacy and project confidentiality with the highest standards.
11. Limitation of Liability
To the maximum extent permitted by law:

Artaxer shall not be liable for any indirect, incidental, or consequential damages, including lost profits or business interruption.

Our total liability for any claim related to a project will not exceed the amount paid by the client for that specific service.

We are not responsible for issues caused by third-party platforms, misuse, or client modifications post-launch.
12. Warranties and Disclaimers
We warrant that:

All work will be performed professionally and with reasonable care

Final deliverables will function as outlined in the proposal, under standard conditions
We do not warrant:

Compatibility with outdated browsers or operating systems
-
That a website will achieve specific traffic, revenue, or SEO outcomes
-
That a website will be 100% error-free forever without maintenance
13. Support & Maintenance
Unless otherwise agreed, Artaxer is not obligated to provide ongoing support or maintenance after project delivery. Clients may request:

Ongoing maintenance plans

Retainer-based updates
-
Security monitoring and uptime support
These services are billed separately and outlined in their own agreement.
14. Force Majeure
Neither party will be held liable for failure or delay due to events beyond reasonable control, including but not limited to:

Natural disasters

Internet outages
-
Wars or riots
-
Government regulations
-
Acts of God or public health emergencies
15. Governing Law and Jurisdiction
